These Terms and Conditions (“Terms”) govern your use of libulbs.com (the “Site”) and all purchases from LIBULBS Inc., a Delaware corporation headquartered at 18670 Coastal Hwy #1050, Rehoboth Beach, DE 19971 (“LIBULBS,” “we,” “us” or “our”). By using the Site, opening a trade account or placing an order, you agree to these Terms on behalf of yourself and the business you represent (“you” or “Buyer”). If you do not agree, do not use the Site or place orders.

1. Who We Sell To

• LIBULBS is a business-to-business supplier. We sell only to approved distribution partners with an active trade account. We do not sell to consumers.
• Trade account applications are reviewed at our discretion. We may approve, decline, suspend or close any account at any time.
• By applying, you confirm that you are authorized to bind your business and that the information you provide is accurate and current. You must keep your account details up to date and keep your login credentials secure.

2. Pricing and Price Visibility

• Wholesale pricing is confidential and visible only to logged-in trade account holders. You may not share, publish or redistribute our pricing without our written consent.
• Prices, product specifications and availability may change without notice. Prices shown at checkout apply to that order.
• We may correct pricing, description or availability errors at any time, including after an order is placed. If an error affects your order, we will contact you before shipping or cancel the order and refund any payment.

3. Distributor Policies

• Minimum resale and online pricing. Distributors must follow our published minimum advertised and resale pricing policy. Violations may result in loss of pricing tiers, territory rights or account access.
• Territory and bid protection. Territorial exclusivity and project bid protection apply only where confirmed by LIBULBS in writing, and are subject to the terms of that confirmation.
• Brand use. Our brand names, logos and marketing assets may be used only to promote and sell LIBULBS products, and only as approved by us.

4. Orders

• An order is accepted only when we confirm it or ship it. We may decline, limit or cancel any order, including orders that appear to violate these Terms or our distributor policies.
• Product images are for illustration. Minor variations in color, finish or packaging may occur.
• Products may be discontinued at any time. Items marked “Limited Qty” or “Discontinued” are subject to availability.

5. Payment and Credit Terms

• Unless other terms are approved, payment is due at the time of order.
• Net payment terms, where offered, are provided through our third-party financing partner and are subject to that partner’s approval and terms. LIBULBS does not guarantee credit approval.
• Past-due balances may result in order holds, suspension of your account and collection costs as permitted by law.
• You are responsible for all applicable taxes unless you provide a valid resale or exemption certificate.

6. Shipping, Delivery and Risk of Loss

• Ship dates and transit times are estimates. We are not liable for carrier delays.
• Title and risk of loss pass to you when the product is delivered to the shipping address on your order.
• Inspect every shipment on arrival. Any visible damage or shortage must be noted on the bill of lading at delivery and reported to us promptly. Claims not noted at delivery may be denied.
• Blind shipping and drop shipping to your customers are available on request.

7. Warranty, Returns and Refunds

Product warranties, refunds and returns are governed by our Warranty Claims and Refunds Policy, which is part of these Terms. All returns require an RMA number issued by LIBULBS.

8. Installation and Use

Products must be installed by a licensed electrician in accordance with the manufacturer’s instructions and all applicable electrical codes. LIBULBS is not responsible for installation, site conditions or use outside a product’s published specifications.

9. Disclaimer of Warranties

Except for the written product warranty described in Section 7, the Site, its content and all products are provided “as is.” To the fullest extent permitted by law, LIBULBS disclaims all other warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Site will be uninterrupted, error-free or free of harmful components.

10. Limitation of Liability

To the fullest extent permitted by law, LIBULBS will not be liable for any indirect, incidental, special, consequential or punitive damages, including lost profits, lost revenue, labor, removal or reinstallation costs, equipment rental or business interruption. Our total liability for any claim relating to a product or order will not exceed the amount you paid for the product that gave rise to the claim.

11. Indemnification

You agree to indemnify and hold harmless LIBULBS and its officers, directors, employees and agents from any claims, losses and expenses, including reasonable attorneys’ fees, arising from your breach of these Terms, your resale or installation of products, or your violation of any law or third-party right.

12. Use of the Site

• You may not use the Site for any unlawful purpose, attempt to gain unauthorized access, interfere with its operation, or scrape, copy or harvest its content or pricing.
• All Site content, including text, images, logos and product data, is owned by LIBULBS or its licensors and may not be reproduced without our written permission.
• Links to third-party sites are provided for convenience. We are not responsible for their content or practices.
• Your personal information is handled under our Privacy Policy.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. Any dispute will be brought exclusively in the state or federal courts located in Delaware, and you consent to their jurisdiction.

14. General

• We may update these Terms at any time by posting a revised version on this page. Changes apply to orders placed after the update.
• If any provision is found unenforceable, the remaining provisions remain in effect.
• Our failure to enforce any provision is not a waiver of it.
• These Terms, together with our Warranty Claims and Refunds Policy and any written agreement signed by LIBULBS, are the entire agreement between you and LIBULBS regarding the Site and your purchases. Any terms in your purchase orders that conflict with these Terms do not apply unless we accept them in writing.
